SAN Terms and Conditions Agreement


The following Terms and Conditions govern your use of and participation in the American Sociological Association’s Sociology Action Network (“SAN”).  Please read the following Terms and Conditions carefully before accessing and/or participating in SAN, as these Terms and Conditions constitute a binding agreement between you and American Sociological Association (“ASA”). 

By checking the “I accept” box at the end of this document, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms and Conditions, you are not granted permission by ASA to access or otherwise use SAN.

ASA may modify these Terms and Conditions without notice to you by posting revised terms and conditions on the ASA website.  Your use of SAN following any modification of these Terms and Conditions shall constitute your binding acceptance of and agreement to be bound by those modified terms.

1. Introduction

The purpose of SAN is to connect sociologists with certain non-profit organizations that could benefit from sociological expertise. 

A “Requesting Organization” is an organization or entity that accesses or utilizes SAN for the purpose of requesting a sociologist’s help and expertise.  A “Participating Sociologist” is an individual, organization, or entity in the field of sociology that accesses or utilizes SAN for the purpose of connecting or engaging with a Requesting Organization.  “You” refers to users of SAN, including Requesting Organizations, Participating Sociologists and their representatives, excluding ASA.

2. SAN Participation

By submitting a request or information to ASA for SAN, you are agreeing to provide reasonable assistance to ASA to facilitate ASA’s understanding of your submission. 

Requesting Organizations and Participating Sociologists must register through SAN and provide full and accurate information as requested by ASA.  ASA is not required to verify submissions or information, makes no warranties, and expressly disclaims all warranties, with respect to the validity of the requests or offers made or provided.  ASA also has no control over, and shall bear no responsibility in connection with, the truth or accuracy of any information provided through SAN, or the qualifications or conduct of any person or entity that volunteers or participates through SAN.  ASA has no obligation to conduct background or reference checks or other verifications of Requesting Organizations or Participating Sociologists.  Participating Sociologists and Requesting Organizations are responsible for the decision whether to engage with one another, such a decision is voluntary, and ASA bears no responsibility or liability therefor.

If a connection between a Requesting Organization and a Participating Sociologist is made through SAN, such Requesting Organization and Participating Sociologist, and not ASA, shall be responsible for arranging all aspects of any dealings, contracts or engagements between themselves.  ASA shall not be responsible for any costs whatsoever in connection with participation in SAN.

3. Disclaimer of Liability and Release

You acknowledge and understand that services and activities arranged in connection with your participation in SAN may involve risk and you participate at your own risk.  You hereby expressly assume the risk of injury or harm, loss or damage from these activities.

ASA cannot and does not assume responsibility or liability for any errors or omissions in connection with SAN, or for any errors or omissions of any Requesting Organization or Participating Sociologist in their professional engagements, SAN related activities or otherwise.  ASA may make changes to SAN at any time without notice.

Use of SAN by all users is entirely voluntary, at your own risk, and is subject to all applicable state, national and international laws and regulations. 

To the fullest extent permitted by applicable law, ASA shall not be liable for, and you hereby release and forever discharge ASA (including its officers, directors, employees, agents and representatives) from, any and all direct, indirect, incidental, consequential, or punitive damages, whether under any contract, negligence, strict liability or other theory, arising out of or in connection with: (a) your access to, or use of, SAN; (b) any information, activities, and/or materials available on or through SAN; (c) any breaches of security involving SAN, or any lack of availability or operational problem of SAN; (d) any viruses or other code that may affect your computer equipment or other property; and/or (e) any engagements, contracts, projects, work or arrangements between Participating Sociologists and Requesting Organizations. If you have a dispute with another SAN participant, you agree to release and hold harmless ASA for all claims of any kind arising from such a dispute.

4. Indemnification

You agree to defend, indemnify, and hold harmless ASA, each of its directors, officers, employees and agents, and their respective successors and assigns, from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees and litigation expenses), relating to or arising from: (1) your use of, or participation in SAN; (2) any breach of these Terms and Conditions by you, or (3) any other matter for which you are responsible hereunder or under law.

5. Termination

ASA reserves the right at any time and for any reason to deny you access to SAN or any portion thereof.  Termination will be effective immediately and without notice.

6. Miscellaneous

These Terms and Conditions shall be governed by, construed and administered in accordance with the laws of the District of Columbia, U.S.A., excluding its conflicts of law principles.  You agree and stipulate that these Terms and Conditions shall be deemed to have been entered into in the District of Columbia.  Any claim or cause of action arising out of or connected with these Terms and Conditions shall be brought exclusively in either the local or federal courts of the District of Columbia, and you consent to submit to the personal jurisdiction of such courts, and waive all objections to such jurisdiction and venue, and YOU AND ASA HEREBY WAIVE RIGHTS TO A JURY TRIAL AND ACKNOWLEDGE THAT ANY SUCH ACTION SHALL BE HEARD BY A JUDGE RATHER THAN A JURY. 

If any part of any provision of these Terms and Conditions shall be invalid or unenforceable in any respect, as determined by a court of appropriate jurisdiction, such part shall be ineffective to the extent of such invalidity or unenforceability only, without in any way affecting the remaining parts of such provision or the remaining provisions of these Terms and Conditions.
